Acted as counsel to Mitsubishi Materials Corporation ("MMC") in respect of its potential acquisition of a minority interest in Similco Mines Ltd. ("Similco"), then a wholly owned subsidiary of Copper Mountain Mining Corporation ("Copper Mountain"), and project financing of approximately $250 million for the redevelopment of Similco's copper mine near Princeton, B.C.

Matter Value: CAD 250,000,000

Acted as counsel to Mitsubishi Materials Corporation (“MMC”) in respect of its potential acquisition of a minority interest in Similco Mines Ltd. (“Similco”), then a wholly owned subsidiary of Copper Mountain Mining Corporation (“Copper Mountain”), and project financing of approximately $250 million for the redevelopment of Similco’s copper mine near Princeton, B.C. We assisted MMC in the negotiation and preparation of a Memorandum of Understanding with Copper Mountain and conducted extensive due diligence on Copper Mountain, Similco and related entities, and all aspects of the former Similco mine and proposed reactivation of such mine, including confirmation of tenure and review of environmental, aboriginal, and permitting issues. The scope of the work also included assisting MMC in negotiating and preparing several definitive agreements with Copper Mountain and Similco relating to MMC’s potential participation in the project and project financing.
