I think that the key dynamic is that Wallace did not
choose
to come back from his suspension because of his own mistaken beliefs.

I think that this is a good example of this mistaken belief here. I doubt Spencer agreed to pay Wallace in cash and that Wallace refused shares, therefore I see no agreement that existed in the first place. Why a breach of contract was argued seems improbable in retrospect.
I don't understand how Spencer acted in bad faith by offering a form of compensation that was accepted by previous employees and employees after him.
