This is in the S-1 Page 45 LEGAL MATTERS

The validity of our shares of common stock being offered by this prospectus is being passed upon for us by Gracin & Marlow, LLP.

My Atty says it means "It means their lawyers advised them that this share offering is legally valid.

They need SEC to declare the s1 effective then it's official."
