Ball Corporation (NYSE: BLL) announced today that it has commenced a public offering of approximately $500 million in aggregate principal amount of senior notes due in 2022. The exact terms and timing of the offering will depend upon market conditions and other factors. Ball intends to use the net proceeds from the offering to pay the consideration, accrued and unpaid interest and related fees and expenses in connection with today's previously announced tender offer and related consent solicitation for any and all of its outstanding 6 5/8% Senior Notes due 2018, and for general corporate purposes.
BofA Merrill Lynch; Goldman, Sachs & Co.; J.P. Morgan; Deutsche Bank Securities; and Barclays Capital are acting as joint book-running managers of the offering.
Ball is making the offer under a shelf registration statement previously declared effective by the U.S. Securities and Exchange Commission. This offering will be made solely by means of a prospectus and prospectus supplement, a copy of which may be obtained on the SEC website at www.sec.gov.
