Subject: Resignation from Advisory Board Neomedia/Frank Lenselink

Dear Laura

With this email I want to ask you to accept my decision to step back from my current position as advisory board member with immediate effect. Please delete my resumee from NeoMedia's website.

I have made this decision as a result of my disappointment regarding the lack of communication from your side. I had to find out from a press release that NeoMedia Europe was changed from an AG structure into a GmbH. Apart from the fact that you would have had to tell me due to the legal consequences for me I think this is very unprofessional behaviour showing disrespect in a person that has always tried to be supportive to Neomedia.

As you know, I was one of the initiators of the business idea built around reading barcodes with a mobile phone. As such I am honestly disappointed about the direction the company is going. But even more, I am disappointed that I was not consulted a single time in connection to the far going changes that seem to be going on within NeoMedia Europe. I can only say that I am stunned about your decision to terminate the existing contract with Dr. Steinborn. I know Christian for many years - he has built up large part of the current business even in times when waters were rough and he has always been a reliable and loyal business partner. His vision and prudence have enabled the company to grow to a force to be reckoned in the industry. I am more than sure that Christian would never have done anything that would justify the step you have taken!

Due to my position I know about your controverse discussions with regard to the intercompany and license contracts. I have to say that with a bit more intercultural understanding/competence from your side it would have easily been possible to find a beneficial solution to these issues. Let me tell you from my experience that it needs more than just the willingness to do things well to manouvre a company with offices in different business cultures. As a Dutch national I can say that Germans are more inflexible and driven by rules than other business cultures but within their system this makes sense. And current economic development shows that they can't be so wrong with that approach!

I do not believe that you have done NeoMedia a favour with you latest decisions. This is also why I do not whish to be seen as suppotive of your course of actions any more. And do not forget one important thing: it is not your company, it is the company of the shareholders!
