MANAGEMENT
The President and Chairman of the Board is Allen J. Schwalb. All directors hold office until the next annual meeting of the stockholders and the election of their successors. Officers are elected annually by the board of directors and serve at the discretion of the board.

The following is a brief description of the business background of Allen J. Schwalb:

Mr. Schwalb is the Founder and President of Modern Women, Inc., the President of Star Sports and Entertainment, Inc. and Star Partners International, Inc. He is well known in the field of investments for the sports and entertainment industries for over 25 years.

Allen is currently Advisor to the Orlando Titans of the National Lacrosse League (NLL), a leading professional indoor lacrosse team. The Titans are a championship-caliber team which plays its games in the Orlando Amway Arena, the home of the Orlando Magic.

His previous sports ventures include ownership of Arena Football League (AFL) teams, namely the Orlando Predators (minority owner) and the Charlotte Rage (majority owner).

He raised equity capital ($36,000,000) for the Sports Museum of America (“SMA”) founded by his son, Philip Schwalb. The SMA was the first and only sports museum and hall of fame for all sports in one venue, located in New York City. It has been called "the Smithsonian of Sports" by the national press and media.

The Women’s Sports Foundation and the International Women’s Sports Hall of Fame have both been partners of the SMA. The Women’s Sports Foundation was founded by Billie Jean King and has Geena Davis, Holly Hunter, Chris Evert and Martina Navratilova on its board of trustees.

Mr. Schwalb's entertainment investments include the Broadway show Annie. He has been the general partner of many Star Partners' limited partnerships, which have provided over one-quarter of a billion dollars ($250,000,000) to Warner Brothers, Metro Goldwyn Mayer (MGM) and United Artists (UA), for the production and/or distribution of over sixty (60) major motion pictures, including “Rain Man”, “Moonstruck”, “A Fish Called Wanda”, “Thelma & Louise”, the James Bond films “License to Kill” and “Never Say Never Again”, “Overboard”, “Spies Like Us”, “Little Shop of Horrors”, “The Right Stuff”, “The Color Purple”, “The Killing Fields”, “The Mission”, three Clint Eastwood films, “Superman II”, Superman III”, “Superman IV”, and “Rocky V”. These films achieved 64 Academy Award nominations and won 16 Academy Awards, including every major category.

Mr. Schwalb's educational background includes five (5) Masters Degrees in the fields of business, finance, engineering, science and management. He is a frequently invited speaker at seminars and conferences on sports and entertainment investments, for investment advisors, stockbrokers, financial planners, accountants and attorneys. In addition to his successful sports and entertainment investments, Mr. Schwalb is on the board of directors of several companies. He is also involved with many community organizations and charities.

ADVISORY BOARD
Modern Women, Inc. is establishing an advisory board of members who are well established, prominent and highly respected in their professions and fields of expertise, including finance, investments, business, banking, insurance, real estate, medical and mental health, career and job placement, legal and accounting. These Advisory Board professionals provide services, information and expertise to the Company's clients. They also generate and develop new business by referring new clients to the Company utilizing their contacts and relationships.
