The ownership of an entity in Delaware has the option to stay anonymous not the ENTITY itself, the Company will still be listed on the it's database ...


i can see why lots of companies or crooked ceo's loves that state to be listed on. LOL !!!


While anonymous ownership may not be important to all, in some situations there can be a legitimate business interest in keeping matters private. Unlike Nevada, Delaware truly does offer an answer to those in search of privacy. Simply stated, in Delaware, if you want to create an anonymous LLC you can do just that. No where in the Delaware laws is there any requirement that the managers or members be identified in any filing. In fact, the Delaware law relating to the formation of LLC's specifically says that the names of the managers or members may be included, but are not required. See Delaware Code ¡± 18-102. Therefore, if anonymity is what you want then Delaware is the place to incorporate, not Nevada.



The Delaware LLC can be formed anonymously. If you do not want your name listed anywhere on the public documents, that is completely fine. You will need to use our filing service instead of our registered agent only service, and we will be the organizer and sign as the organizer of your Delaware LLC.

The Delaware LLC can be formed by filing a simplified certificate of formation with the State of Delaware. In filing anonymously, we only list your Delaware LLC name, our registered agent info, a few articles for other protections, and then we sign as the organizer. Your name will not be listed on the docs.

How do I know it’s actually my Delaware LLC if it’s anonymous?

Well, that’s a good question! After we form the anonymous Delaware LLC we provide you initial resolutions where we show a chain from us signing as organizer to you as the member(s). We appoint the member(s) and manager(s) on this document as well as the Delaware LLC operating agreement. You sign the Delaware LLC operating agreement as the member(s).

We do from time to time hear of people getting their LLCs hijacked… Technically, you could easily prove that the LLC is yours with the chain of documents from the certificate of formation to the initial resolutions to the operating agreement.

A lot of our clients prefer to have their names listed as the members on the certificate of formation. It does not matter to us how you would like it listed. We can do this for you if you would like. Even if you file the formation documents listing the members or managers, the member info does not show up on a simple name search on the Delaware website. Someone would actually have to order a certified copy of the certificate of formation and pay the State of Delaware $50 to get a copy of what we filed to see your name. So even with listing your names on the certificate of formation, it’s fairly private.

If you truly want an anonymous Delaware LLC, it is very simple. We will just not list the member(s) or manager(s) info on the Delaware LLC certificate of formation and sign as the organizer.
