Purchasing the remaining shares of its subsidiary has immediate benefits for SDSS Inc.



First and foremost, it gives the parent company the ability to accelerate the fundraising activities necessary to generate the capital requirements for taking SDSS to the next levels of both commercialization and R&D. The agreement consisted of a minimal downpayment, which does not put the company at any risk in the short-term. The remaining sums are to be paid over the coming 36 months, and are dependent on the financial well-being of the company.



By negotiating a 3-year payout, we have secured the continued involvement of the shareholders in ongoing business development activities. As the previous shareholders were essential in the development of Cogito, we believe that their continued involvement in the areas they specialize will aid SDSS in both the short- and long-term.



As part of the arrangement, Mr. Zigi Horowitz, one of the world's leading polygraph experts, is slated to join the subsidiary's Board of Directors. The company intends to release an announcement when the appointment has been finalized.



Furthermore, there are cost-saving benefits of controlling a single company, as opposed to two companies. SDSS Inc. is no longer a holding company, but rather is now 100 percent in control of all aspects of business operations.



As such, I do expect there to be more thorough communication with shareholders in the near future.

Can you please tell me why SDSS decided to purchase the remaining shares of the tech it didn't own> What are the benefits to SDSS? Why did it feel necessary to spend much needed cash on the purchase? What will the old owners have to do to help SDSS if anything? etc etc

Further, Gil B sent a shareholder letter several months ago, and told us they would communicate more with shareholders and since then we have gotten zero PR's, can you discuss please?
