That's criminal - I wonder who Cosworth Communications Limited is? $1,089,015 is a pretty big chunk of change

This information from a post I found on an AAPH forum:
This mailer came soon after a private placement of $1.5 million to Maxum Overseas Fund.
The placement looks like a toxic convertible accompanied by warrants -- the convertible is a debenture that converts to common at a price that is reset to whatever price the most recent warrant conversion took place. That's according to the recent 8k.
Maxum Overseas has appeared in filings for about four companies since 2007, so it's obviously not a big fund.
I think that's an interesting twist on paid mailers if the filings actually do give a hint of the identity of the selling party. Somebody named Kenneth Taves is named as the 'portfolio manager' for Maxum. Googling that name generates some interesting hits.
Another odd thing is that Maxum's shares don't seem to be free trading. There's no prospectus for them to be sold to the public that I could find.
