Plaintiffs Robert Stewart and Mari Stassi are inappropriate representatives of the general shareholders' interests in Loch-Harris due to NUMEROUS past business dealings of Mr. Stewart with both Loch-Harris and CDEx, Inc. in which Mr. Stewart has received FINDERS' FEES for and has REPRESENTED creditors and holders of large equity interests seeking corporate control. Mr. Stewart has, on information and belief, conducted illegal proxy solicitations with respect to Loch-Harris over the internet."
