Maybe they need those A/S for whats coming. Statement from the proxy letter below.

The Board of Directors believes that it is necessary and prudent to increase the authorized number of shares of common stock to the proposed level in order to provide a reserve of shares available for issuance to meet the Company's business needs as they arise. Although the Board of Directors has no immediate plans to issue a significant number of additional shares of common stock
