Placer Gold Corp (PGCR.PK) is a Gold exploration venture company engaged in the identification, acquisition, exploration and development of mining prospects believed to have gold mineralization. Our main focus is on alluvial deposits. These prospects may also contain mineralization of metals often found with gold, such as platinum and silver. At present, our main thrust is to explore for and develop commercially viable gold mineralization on those prospects which we have rights. We also plan to acquire other prospects with gold mineralization potential by staking claims, purchasing property, or acquire new leases or mining rights which may include in-production mining operations. Exploration and development for commercially viable mineralization of any metal includes a high degree of risk which requires careful evaluation, experience and factual knowledge.

We currently have options to acquire granted State Waters leases in Nome, Alaska covering approximately 2,200 acres and Denali, North Alaska, covering approximately 2,200 acres containing known gold mineralization. Through our JV agreement with RE Shell Trust/Concha Holdings we currently have a JV agreement over a lease application for the right to mine 720 square miles of federal waters offshore Nome Alaska. Through our JV we currently have environmental approvals (EPA) and Army Corps of Engineer permits to operate a suction-cutter dredge in Norton Sound, AK on part of the offshore lease area.

Via option agreement, we currently have the right to acquire mining prospects in Bear Creek, Alaska, for which there are also operating permits in place for a seasonal placer mining operation. These prospects are placer claims comprised of gravel deposits at various levels along a riverbed. We plan to operate the prospects ourselves. The Company is also advancing plans for a number of South American placer gold projects, which can be mined year round. Although we have the survey reports for our prospects and there has been a history of mineralization recovery from the prospects, there is no assurance that a commercially viable mineralization of gold or other minerals will be recovered in all of the areas.

Norton Sound Alaska Oceanic Placer Gold Mine:
The Norton Sound Oceanic Placer Gold Project is located 3-12 miles west of the city and port of Nome, Alaska. The project area has good infrastructure and the city of Norton Sound (population 4,000) is the logistical and economic hub for this part of western Alaska.

The company is finalizing plans to construct new large-scale suction-cutter gold dredges to produce up to 250,000 ounces in the next summer season. Norton Sound offshore placer gold grades are approximately 0.50 grams/M3 ($13.40/M3 at $835/oz; estimated from over 3,000 drill samples), which should result in Gold production costs of less than $200/ounce. The tenements are OCS 720 square mile Leases Application and 2,000 acre Granted State Waters Leases, with 1.5-10 million ounce placer Gold resource potential.

Shell Alaska Mining Trust, holds 2,200 acres of State of Alaska offshore leases southwest of Nome. These are lease tracts 5, 7, and 8 (see figure 1). These lease tracts were selected for bidding because they were as close as possible to known reserves and intensely drilled areas. In fact, one can infer from the pattern of the offshore drill holes that a significant amount of gold came down the Snake River. Since the long shore currents along the coast moves from east to west, the southwest of the mouth of the river ought to be better than east of the river. In the geologic past, the Snake River probably took a more direct route to the sea, especially when sea level was lower. When this happened, it was quite likely that the old river channels ran through these leases. These channels would be deeper targets that have not been discovered yet.

The advent of modern high-capacity suction cutter dredges has transformed the dredging industry and dramatically lowered large-scale mining costs to less than $1/M3. The application of large-scale dredging equipment, coupled to computer-controlled gravity gold recovery plant could make the Nome offshore placers very profitable today.
Mining costs could be approximately $4.00/M3 with targeted recoverable grades of approximately 0.50 grams/M3 ($13.00/M3) resulting in Gold production costs of less than $300/ounce.
Active negotiations are underway on additional offshore and onshore permitted gold properties with immediate development potential.

The JV partners intend to finance and develop two or more large-scale placer mines starting on the JV granted State leases, commencing gold production in 2009-2010.
