They can't get to the Pinks without an MM filing Form 211 and no MM is going to file without having audited financials.

Rock and a hard place for SPNG.

Also, as long as they are registered with the SEC they do have reporting requirements. They can't file Form 15 to terminate their registration as they have too many shareholders of record.
