Yesterday I mentioned that ACTC had approved a reverse split over a year ago and several have mailed saying they cannot find where that had taken place. Here is how it went down with links.

A reverse split WAS approved but never acted upon. Below is the Proxy proposal that was to be voted on:

3. To consider and approve an Amended and Restated Certificate of Incorporation of the Company (the "Restated Certificate of Incorporation"), which amends and restates the Company's existing Certificate of Incorporation to effect a reverse split of the Company's outstanding shares of common stock, par value $.001 per share ("Common Stock"), at a ratio in the range from one-for-two to one-for-ten at any time before May 1, 2008.

Here is the statement from ACTC announcing the reverse was APPROVED.

"Approved an Amended and Restated Certificate of Incorporation of the Company, to be filed at the discretion of the Company's Board of Directors at any time before May 1, 2008, to amend and restate the Company's existing Certificate of Incorporation to effect a reverse split of the Company's outstanding shares of common stock, par value $.001 per share, at a ratio in the range from one-for-two to one-for-ten."

Abandonment of Reverse Stock Split

"Advanced Cell Technology, Inc.’s (the “Company”) management has elected not to effect the reverse stock split authorized at the Company’s annual meeting of shareholders held on December 28, 2007. The authorization to effect a stock split expires by its terms on May 1, 2008."
