The max YA can control with or without conversion, with or without an RS is less than 80% based on the current OS and AS. The math: say 1.2B shares of OS w/1000:1 RS gives current OS shareholders (us) 1.2MM shares. YA can only get 3.8B shares by converting...which subject to the same RS ratio yields YA 3.8MM shares. Total shares OS would be 5MM. Ownership by YA=3.8/5=76%. YJ.
