Ambassador Gold Limited, Sentinel Resources, Inc. and Golden Eagle Mining Limited agreed to acquire Prime Time Group, Inc. (OTCPK:PRTH) in a reverse merger transaction on November 8, 2007. Upon closing of the transaction, Prime Time Group, Inc. will be announcing its new Board of Directors and its new management team. Under the terms of the transaction, Prime Time will issue shares of its common stock to fund these acquisitions. This will constitute a change of control in the company and effectively Prime Time will be controlled by Fortress Financial Group, Inc., parent of the three buyer companies. Prime Time will be changing its name to better reflect its new nature of business. Prime Time Group, Inc. will complete a reverse stock split for the company’s outstanding stocks, upon completion of which, it will consummate the transaction with the three gold mining companies. To better reflect the acquired properties, Prime Time Group changed its name to Hunt Gold Corporation and obtained a new CUSIP number. The transaction is subject to due diligence and regulatory approval.
As of November 29, 2007, Prime Time Group Inc. changed its name to Hunt Gold Corporation with a new CUSIP Number 445623101. Prime Time will trade as Hunt Gold Corporation under the Trading Symbol HGLC.PK as of November 30, 2007. Hunt Gold Corporation, post the reverse split of its outstanding shares, has an amount of 0.14 million outstanding shares of its common stock. An amount of 0.06 million of these outstanding shares are "free trading" and not restricted. Hunt Gold Corporation will now be issuing shares of its Common Stock to Fortress Financial Group, Inc. in respect of Hunt Gold Corporation's acquisition of the entire issued share capital of Sentinel Resource Holdings plc, Golden Eagle Mining Holdings plc and Ambassador Gold Holdings plc.
