You should probably read the motion that sets forth the "gripe". The issuance of the 600 Million shares caused a massive run that eviscerated the share price to next to nothing. The $119,000 was then spent on personal expenses.

It looks like there is quite a lot to gripe about as the transaction was a complete disaster for QEDN and appears to have no legitimate business purpose. It will be interesting to see what GPL has to say about the matter.
