Let him forego his bloated salary and take only restricted stock in lieu of salary and pledge nott to sell it for 5 years. Or let him take $100K as salary - max - with no cash bonus - only restricted stock as a potential annual performance bonus and restricted stock in lieu of the remainder of his salary.
Result: he won't take that deal because he knows the stock is garbage. He's after the salary, cash bonus, and benefits.
