The information as to why they are restricted was answered in rule 144! The rule applies to restricted and unrestricted shares and controled securities which all are technically controlled by rule 144.

BREAKING DOWN 'Rule 144'
Rule 144 regulates transactions with restricted, unregistered and control securities

There are five conditions that must be met for restricted, unregistered and control securities to be sold or resold.
