Reverse merger can still happen with UMS,LLC on Grey Sheets as the target iTalk Inc. in it's current condition will no longer exist after the reverse merger is finalized.

If the UMS,LLC Ch 11 is finalized it will essentially be a new company with $15 to $20 million in revenue annually and close to $5 million in debt cleared.

It is then possible a broker-dealer market maker may file a form 211 with two years of audited financials are presented for the reverse merger and begin filing on time yearly audited filings.

In this situation the issuer would now have reliable information and the risk to the market maker broker-dealer would be greatly reduced.

Take care of the TALK ghosts, default judgments that iTalk left behind, could happen.

Some other unknown corporate action could occur that no one is aware of publicly as of yet...

I am not saying this is happening, but it can happen.

It is not over yet and considering how much time and money was spent on the UMS Ch 11 and how intertwined financially UMS,LLC is with iTalk Inc in my opinion.
