In fact, since NEWC stock will likely be cancelled, I don't even know how JC could distribute new stock to his old NEWC shareholders



The common shares are not being cancelled. The registration is. The common shares will remain intact, but it will almost certainly be moot, since the company is essentially insolvent and won't be coming back.
