Just do your own DD, don't believe anyone. Common sense will tell you that an RS would be crazy with this share structure. I think the lowest OS I have ever seen an RS for is around 800 million, which is twice our AS! Usually the OS is over 2 billion when they RS. Study the UATG website, all of the PRs, the financials, the reviews on the socks, etc.. Lots of info available, no need to listen to anyone, make up your own mind.
