Absolutely not. TALK is not only seriously delinquent with their SEC filings, they are massively in debt. All past-due and in default, and in at least one case, has already lost a federal lawsuit over their delinquency. Which means if TALK actually had any assets at all, the plaintiff could enforce their judgement and take the assets.

TALK is a very dirty shell. No one in their right mind would merge any assets into it. If the new owners of UMS really wanted to go public, they would do it themselves, or use a clean shell.

There is absolutely no logical reason why UMS would merge into TALK and share their assets with TALK's creditors and old shareholders. NONE.
