So why wouldn't you try to get the RS vote to go your way if you were the MGMT? It doesn't appear that it costs anything more to postpone, so what do you have to loose (or gain)? People will sell because they do not like a RS, so that is one way to "incidentally" shake out more shares. Also an early yes vote would happen W/O having to disclose any other motive as the NASDAQ delist suffices. There are friends and fund managers who cannot buy @.35 cents but are golden at 1 or 2 dollars? Who are Institutional Shareholder Services Inc. and Glass Lewis & Co. LLC? More friends of ours? Did they recommended the early vote? Money, money, money..... There was no reason to push up the RS vote early and they have tipped their hand by doing this.
