Actually, they don't. No one will lend them money except toxic lenders and without the ability to reverse split, they'll stay away also.

The only reason they haven't filed for BK is because there's no debt to wipe out. Any residual value in the company will go to the preferred shareholders, but it will be pennies on the dollar.

When you think "there can't be that many people falling for this", remember the Bernie Madoff story and recall that over $50 BILLION of smart money fell for a great story.
