You need to read the sticky I posted . There you will see that the reason why the O/S is so high , is because the insiders converted their series A preferred shares over into common shares. They now own 99.3% of the O/S , leaving less than 130k common shares in the public float. They only recently made this change in share structure from the original R/M filing , which had the Total O/S at less than 200k. The insiders have their reasons why they did this & with the stroke of a pen , can convert their commons back into preferreds when its appropriate to do so.
The pending news is supposed to explain to the market what is going on with the SS & other company events.
