Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On July 7, 2017, Aéropostale, Inc. (the “ Company ”) filed a Certificate of Amendment to its Restated Certificate of Incorporation (the “ Amendment ”) with the Secretary of State of the State of Delaware changing the Company’s name from Aéropostale, Inc. to ARO Liquidation, Inc. The Amendment became effective immediately upon the filing thereof with the Secretary of State.
The change of corporate name was effected in connection with the sale of certain of the Company’s intellectual property under the previously disclosed Asset Purchase Agreement, dated as of September 12, 2016, by and among the Company, the other direct and indirect subsidiaries of the Company signatory thereto, and Aero OpCo LLC, pursuant to which the Company sold substantially all of its assets to a consortium of buyers comprised of Authentic Brands Group, Simon Property Group, General Growth Properties, Hilco Merchant Resources, LLC and Gordon Brothers Retail Partners, LLC.
