Litigation by shareholders against the company or board members is lengthy and extremely costly.
Then there is the problem of piercing the Corporate veil in going after the Directors personally.

Wanna try bringing an action for breach of fiduciary duty and willfull and/or negligent misrepresentation better have 10's of thousands of dollars and damages that exceed the legal costs you will incurr in bringing such an action.
