In order for shareholders to be successful in bringing an action against a Corporation (CVM) they would have to
prove that management of the Corp. misled investors about company prospects.
The standard is extremely high in proving
that the company through the Board knowingly and willfully misrepresented company prospects and induced present shareholders to buy into or hold on to company stock.
