I have been digging little more

In the link below under the experience section. It states that APAI is going through APO

APO (Alternative Public Offering) is by definition, raising capital through PIPE + R/M

But note PIPE has to be private, and NOT a public offering
I think they tried to do PIPE in 2014

But they were only able to raise $100,000

So they changed direction to just do a Reg A+ (Public Offering) in 2015 and 2016.
Reg A+ doesn't require R/M or cannot be combined with R/M as a matter of fact.
And keep in mind Reg A+ can also be called APO (Alternative Public Offering) because of the fact it is an alternative option for private company to go public.

It is a fact APAI did complete Tier 1 and Tier 2 of Reg A+
So technically, APAI is a public company just not publicly traded = SEC regulation "okays" this.
Conclusion is that APAI is not or can not do a R/M to go public, because it is already a public company.

Someone with better understanding of the laws can correct me if I am wrong.
But this is what I came up with after 4 hours of digging.
