Item 1.01 – All Corporate activities will now be conducted from the main Clinic Office located at 1180
Cleveland Road, Sandusky, OH 44870.

Item 2.01 – As of March 31, 2017 the total number of issued and outstanding shares of common stock is
710,183,464 with 211,117,300 of those shares restricted.

Subsequent Event

Item 3.01 – As of May 30, 2017 all New Wave Holdings, Inc. operations that existed prior to the August
24, 2016 merger with PAO Group, Inc. have been divested to the previous management. This includes
the credit card programs “School Fuel and “Good Gravy” as wells as associated assets and liabilities.
Assets include approximately $105,700 program software, program prepaid marketing expenses and
patents. Liabilities assumed by the previous management include all accrued salaries of $285,000 and
accounts payable legal fees of $26,550.

Visited the open house in Sandusky, OH last week. Sounds like they will have more open houses for the next few corporate clinics they open. Very educational trip. If you're near Parma, OH... Might be worth a look since they are next.
