I actually think it's more a matter of Frankie not wanting to follow through creating an actual business because it's too much work, It's easier to just sell shares as the new business starts up and then dump it and start anew.

It's easier to do this with a public company than it is with a public one, of course. And not just any public company, but one trading on the OTC rather than a real exchange where there's oversight.
