Hopefully someone more adept at reading this stuff can pitch in. I had to read through some of the stuff several times before it made any sense.

I've only looked briefly at Delawares laws. I've been looking to what laws on shareholder disclosure might apply to POW!.

I'm pretty sure POW! did not follow the best practice for selling itself according to Delaware law. It would give cause to start a lawsuit, which would probably cause the company to formally announce it is for sale and start a bidding process for it. It is the same thing that would happen if we can get SEC Rule 13e-3 applied.
