The 8k filed is bad news for common share holders. They are protecting the original investors (themselves/friends) holding preferred shares that aren't affected by any RS. I do think they may be getting ready to sell or merge. However it will not benefit the common share holder. They will do an RS prior to any merger or sell out. No company wants 2.3 billion shares.
