it is also a formality. Lets say they know it will get to 1. They know a string of news is going to push them past 1 when it is announced. They have to show that they acted in good faith towards the stock holder. They must have the R/S in place "in case" it doesn't. Otherwise they could be held liable for various conspiratorial charges.
