I got your email the other day but I don't have private messaging. As far as $ESSX, we shot a few emails back and forth and their IR guy said the proxy material will be released in the coming weeks including the pps for the acquisition, that was almost two weeks ago.

For anyone else interested, they're being acquired for $72.5 million, 25 million shares outstanding, confirmed with the company last week, DD can be found here,
