IN REALITY, Letters of Intent and Memorandums of Understanding are extremely basic and generally have a DROP DEAD CLAUSE of around 30 days. These are written in so the company isn't obligated to notify anybody if the "claimed merger" doesn't happen. It just fades into oblivion with the shareholders investment.
