"we no longer expect to file our definitive proxy statement" means the company has been acquired (speculation 1). IFON is Mr. Ram's baby, and with 30.6% ownership of the company, he has made sure that he îs getting $1.5+ per share (speculation 2). Based on this, IFON will be $1.5+ shortly (no worries about the delisting or RS)!
