I didn't notice they are not SEC-registered, but it is clear they don't come close to meeting any of the Nasdaq listing requirements. You're right, they are not even SEC-registered, which they admit.

Looks like that press release can be put in the misleading category, at best.

They must have some serious dilution to unload and "consultants" to pay.
