7. Any change of control:
Pursuant to the Securities Purchase Agreement dated December 5, 2016 between the Company, Mxxx Mxx Group, and Hudeb, LLC., Hudeb
, LLC will purchase the outstanding Preferred Shares from Mxxx Mxx Group and 350,000,000 Common shares from the Company.
As a result, Hudeb, LLC, will haveeffective and actual operating control of the Company.
The change in control will take effect upon satisfying conditions set forth in the Escrow Disbursement Agreement and Securities Purchase Agreement. At that time, the Company’s current officers and directors will resign and new officers and directors will be appointed.

8.Anystock splits, stock dividend, recapitalization, merger, acquisition, spin-off, or reorganization anticipated in the next 12 months.
