Greetings bBooth owners and friends.

As set forth below, I have endeavored to answer all of the questions posed to me, within the bounds of SEC rules and regulations. In connection with your interpretation of my statements, please read the Forward-looking & Safe Harbor Statement at the bottom of this post.

I’d also like to address some of the activities on this board of late. First, I recognize and respect the fact that this board serves as a due diligence resource for existing and prospective investors, and NOT a forum for CEO’s and other members of issuers’ management to promote their companies. I very much appreciate that you allow me to address each of you on this board and that you understand I do so only in the spirit of transparency in support of your due diligence efforts, something I believe is much needed in the OTC community of issuers. As I mentioned to Meatslice, many of the questions I see on the board are legitimate questions any diligent investor would have - especially in the OTC environment where many OTC investors do not have the level of transparency to which they are entitled.

Sometimes, and perhaps more so lately, we find statements or questions from posters that seem to have no legitimate basis. However, I want to encourage you to be somewhat more open-minded, especially to those assertions that challenge us here at bBooth. Those assertions sometimes actually serve a legitimate purpose by forcing us to re-examine and test our strategies and initiatives and only good can come from that. At the end of the day, we ALL want this company to be the homerun each of us expects and deserves. Anything that contributes to that result should be embraced.

QUESTIONS FROM HoT On Behalf Of iHub Members


1. Q. What is the delay in the utilization of the technology from those who are on board at the moment? Is it coding, technical issues?

A. By your question, you’re assuming there is a delay. With the exception of the Matrix roll-out, addressed below, implementation is going as planned.

2. Q. Can we get an update on the Matrix roll out and the "new possibility" found with Matrix that was brought up during the Q&A, but was never addressed?

A. The “new possibility” I think you’re referring to is really the “bigger opportunity” I referenced in my answer to one of the questions asked about Matrix during the Q&A. I am still unable to provide much detail around this, but I can say we are pursuing the adoption of the technology by all of the independent sales reps of the company for which the Matrix Group is a distributor. For clarity, the Matrix Group is Mr. Byron Nelson’s extensive network of sales reps with whom we entered into an agreement to utilize our application. However, the Matrix Group is actually a distributor of a much larger organization whose name I am unable to disclose. That opportunity is much larger from a revenue standpoint, but will require certain changes to be made to the application to accommodate their special needs, from simple re-branding, to somewhat more complex feature and functionality re-coding. It’s now looking more like Q2 until we know if and how we will move forward with them.

3. Q. Why are some of the "walk outs" like regular videos and not "3D" looking?

A. To answer this question completely, let me first provide an overview of our technology. Our core technology is “immersive, engaging, fully interactive video”. We have productized the technology for different types of applications, designed to target different categories of users and they are priced accordingly. Each Product has a list of special features and functionality available as options. The “Walk-Out” is a feature available in some of the Products – but currently not all.

The Products are as follows (we’re currently working on the “names” of these Products for trademark purposes):
A. Interactive Website Embedded Video. This is what you are currently seeing us deploy on our own website. We ran into a bug that appears solely on Safari browser implementations that caused us to hold-off on the completion of the website overhaul we recently started. I’m happy to say that it appears our tech team solved it today and we will resume the website overhaul. This Product allows customers to create and display sales, product, or corporate videos on their ‘WordPress’ template-based websites viewable on desktop and mobile devices that contain ‘clickable’ interactive links in the actual video. These links (both visible like on-screen buttons, and invisible like a link on a shirt that only becomes visible when you hover over it) are features that when clicked can perform a variety of functions including (i) opening and playing a video within the video; (ii) opening a browser on the website visitor’s computer and taking them to a webpage – even if that person’s browser was closed; (iii) displaying an interactive form (including surveys) on-screen for data collection – again in the actual video - while the video continues to play; (iv) placing a phone pad on-screen that collects the viewer’s phone number, immediately calls them at that number and connects them to live customer service, to a sales call center, or plays a pre-recorded message and even takes messages on an answer machine; (v) among several others such as merely displaying on-screen info about that item when you hover over it (which is pretty much the limitations of the technology offered by other companies that market ‘interactive video' capability).

B. Interactive Video Embedded In Online Ads. This allows our customers to take the interactive video experience they have created for their website and embed it online ads they can place almost anyplace, such as in Facebook ads, among other popular places. These videos will launch when the online ad is clicked and play with all of the interactive capabilities set forth above – even on mobile devices. This is a sea-change for companies that don’t want to sit passively and wait for customers to come to their website to experience their interactive product or service video – but instead, place that experience where their customers are located and more likely to see it.

C. Our ‘Active Links’ Product. This is one our most interesting products. With our Active Links product, customers can take that same interactive video described in the products above, with ALL of the interactive elements intact and working, and distribute them via email, text, social media, electronic invitations, etc. This product allows our customers to literally deliver that same interactive video experience to their client list and use it for lead generation, customer retention, customer relations, among many other initiatives. And like the Embedded Ad product described above, these videos will play on any device WITHOUT THE NEED FOR THE RECIPIENT TO DOWNLOAD SPECIAL SOFTWARE OR A PROPRIETARY PLAYER FIRST. This capability, like most of the others, separates us from other companies claiming to have interactive video capability.

D. Desktop and Mobile Apps. This is our top-of-the-line Product. In this Product, we built an enterprise class, fully scalable platform around our core technology for the creation and delivery of interactive videos as the centerpiece of a CRM and Lead Generation solution for any sales-based organization. It is a cloud-based SaaS product, offered on a subscription basis, as a fully branded white labeled desktop, mobile, and web-based application. This Product has what we believe are industry leading features and functionality that leaves even the large incumbent players generations behind us. Most other CRM apps are really sales force tracking applications designed to allow management to track the daily activities of sales people. Our CRM application is designed to give sales people the tools they need in today’s video-centric world to SELL – not just report. The platform has features that include: (i) import of .csv files or direct import of contacts lists from Outlook, Gmail, Hotmail, and Yahoo Mail allowing the user to send individuals or groups interactive video messages; (ii) drip campaign creation and management; (iii) downline management; (iv) in-app chat and messaging (video chat and full conf call capability coming soon) with customers and downline reps; (v) PUSH–TO-SCREEN delivery of messaging (even when the recipient’s browser, email, and text messaging programs are closed); (vi) 3-D looking interactive “walk-out” videos, with transparent backgrounds that play on top of any other open application.

We will soon be releasing a “walk-out” 3-D-like interactive video, with transparent backgrounds that can played OUTSIDE of the app environment in the Products listed above. Currently those videos require that we insert a background into the video. The current applications allow the users to select the background. In our website video, we chose to use a white background with our bBooth logo on it and the walk-out video plays on top of that. That will change with the upcoming release.
All of these Products have a complete Admin Console, a Content Management System (that allows the user to import pre-existing videos which the user can then add interactive elements to), and a dedicated data-base.
And finally, all of the Products have sophisticated analytics and reporting capabilities. We’re currently working on bleeding-edge analytics capabilities, including “sentiment detection” capabilities that interface with next-gen AI systems.
Upcoming Products include Interactive Live Streaming for concerts and sporting events. We are aware that streaming of sporting events such as the Super Bowl, among many others is growing rapidly. We intend to take that online viewing experience to an entirely new level by adding real-time interactivity (and merchandizing capabilities) to the Live Video Stream.

4. Q. Can we get an update on "Project Teach"?
A. Project Teach has a dual purpose. First, to deliver what we believe may be the most innovative, extremely effective teaching and learning tool FOR FREE to children in all schools across the country and thereby lower drop-out rates, and change lives. Second, we believe that the media exposure by providing this service will propel the company’s visibility, revenues and stock price. However, Project Teach requires sponsors to fund the out-of-pocket deployment costs which we, as a start-up, are currently unable to do. Accordingly, we began a dialogue with certain high profile individuals to lead that effort. One such individual was Oprah Winfrey. Unfortunately, while it looked promising initially, we have been advised that her organization determined not to move forward on it. As and when we close a deal with a lead sponsor to launch Project Teach, we will announce it.

5. Q. Update on website changes.
A. Addressed above.

6. Q. Is bBooth involved in “Chase For Biz”? Lots of Tweets from Nick Cannon and small businesses.
A. I am unable to comment on this at this time.

7. Q. What is this financing Rory has been mentioning? What are the terms and when can we expect an announcement?
A. I believe this was discussed in the recent SHAC meeting and information posted about it. Essentially, we’re launching a private placement equity round in order to fund our current growth and expansion. The round will be priced at a 20% discount to a 5-day VWAP per common share on the date of the closing and include a warrant for each share purchased entitling the investor to purchase additional shares at any time over the next 2 years at a price that is 50% higher than the price paid for the common in this round. In other words, if the round closes at $0.10 a share, each investor will own a common share and a warrant to purchase another share for $0.15 at any time over the next 2 years. 8. Q. Will bBooth ever look to get involved in the MMJ industry?
A. We are currently working with clients in this industry but I am unable to discuss any details at this time.

9. Q. Understanding HOW and WHY it is better builds shareholder confidence and helps spread the word FAR BETTER than just being told it is superior. HOW and WHY is it far above any other company?
A. Review the Products section I outlined in response to Question 3 above. Humbly, or perhaps not so humbly, I have not suggested that our bNotifi Product set is superior to those offered by other companies - rather I am stating that I am unaware of ANY company that offers a competitive product set. With respect to CRM companies, I discussed the primary differences in my answer 3 D above.

QUESTIONS FROM MEATSLICE

Hi Rory,

Thank you for inviting me to have a call with you.  I respect that you are a very busy man so I think emailing you a few of my questions and concerns would be best so that you can answer them at your convenience.  I understand that some of my questions may not be answerable.

1. Q. With the reported praise from all potential clients when they are first introduced to bBooth, why have we not seen a single client signed on with potential revenues expected?  We see releases about partnerships and cooperations with other companies but no information on how the tech will be used, what revenues will come from it, when they will begin utilizing the technology, etc.  You stated before that some clients dont wish to announce their deal with us until they are ready to deploy the technology.  Does that mean we have secured deals in place that BBTH is just waiting to announce?  How many revenue producing deals does BBTH have in place at this point right now?

A. As I expect you realize, I am unable to respond with the level of detail you seem to be asking for. However, I can say that we have executed agreements with multiple clients and as of this week, more than 68 active opportunities in our sales pipeline. While this is NOT an assurance of future performance as there are innumerable variables outside of our control and no one should invest on the basis of this statement – I reasonably believe that it is possible for us to achieve and perhaps exceed our revenue projections based upon the value of the contracts we already executed. As an example ONLY – and as outlined in my response 3 D in the HoT list of questions above, one of our products is an enterprise level platform designed specifically to be the best network marketing lead generation and customer relationship management tool on the market. And it is FREE to the network marketing company. Instead, the individual independent sales reps pay a modest $5 per month charged directly to their individual credit cards to use the product (a mobile and desktop app). This is less than the price of a cup of coffee and substantially less on a per user basis than almost any other product on the market. Many of these network marketing companies have more than one million active sales reps. Assuming we have 1 million sales reps paying $5 per month, every month, that’s $5 Million per month, $60M per year, of very high margin revenue. Don’t forget, we have no manufacturing costs as it’s a digital product, no inventory costs, no breakage, no shipping costs, etc. And because it’s subscription based, it’s recurring revenue. And at only $5 per month per user, it’s very sticky.

2. Q. Why have the "walkouts" we have seen via Nick Cannons tweets and the bBooth website been simply videos?  The most exciting and eye grabbing part of the walkout is the fact that its on top of your screen with everything you were doing still in the background.  Why did the Nick Cannon Valentines tweet take us to a separate page and look just like a recorded video?  On the website, the initial walkout doesnt move with me scrolling the page.  Seems like missed opportunities to showcase the walkouts.

3. Q. Any update with the Matrix Group and their parent company, ACN i think it was?  For a technology that has everyone blown out of the water, why is it taking them 4+ months to make a decision on whether to move forward with the tech?

A. Please review my response to HoT’s question 2 above.

4. Q. Volume for the stock is still extremely low.  What is the plan to increase interest for the stock outside of the small group of investors we currently have?  When can we expect to see the benefit from the recent vetting of BBTH and effects it SHOULD have with the B/D's?

A. I believe you are referring to the B/D sponsored private placement we’re about to launch which should generate interest in the stock from investors who have never heard about bBooth. Second, there will be an announcement concerning investor relations at the end of the month.

5. Q. We keep hearing that you are still confident on the $50 million revenues for 2017 and that you would let us know if that changes.  As the year progresses, that target seems harder and harder to believe as it would now seem that the large majority of that will be coming in the last 9, and more likely, 6 months of the year (based on what has been reported thus far revenue wise/deals signed so far).  How is BBTH going to go from 0$ million to $50 million in such a short time period?

A. Please review my response to your first question above.

6. Q. We have yet to see any data on the comparable retention and click through rates of a bNotify to alternative advertising/sales methods.  Is there any data being collected to showcase the true advantage of using bNotify in terms of numbers and percentages?

A. Yes – and the preliminary data indicates improvement over other advertising/sales methods of 300%-600% and in some cases, substantially higher. We will publish our results when we have developed a larger sample over a longer period of time.

7. Q. We have been reported an overwhelmingly positive response from the potential USERS of bNotify, and that is to be expected as it is something new and cool to utilize in reaching potential customers/fans/ec.  However, has there been any response from, or tests to see how the AUDIENCE of a bNotify likes the technology?  

A. Please review my response to your question 6 above.

8. Q. Project Teach update?

A. Please review my response to HoT’s question 4 above.
