Personally I can not understand how anyone can read 8.01 AND NOT THINK SFOR has a Licencing Agreement.
the Company has licensed the patents to Microsoft Corporation, and the Company will receive a non-disclosable one-time lump sum payment.
We now know the one-time Lump Sum was $9.7M, and there is a NDA Licensing Agreement.
No where does it state the one-time Lump Sum is the Licencing Agreement.
There is a key word "and" in that statment.
and - used to introduce an additional comment or interjection.
You may choose to read and interpret it anyway you want, but before making a statement such as "Sorry Guys no licensing deal with Microsoft. It was a one time lump sum payment."
I would suggest you call or email Kay.
He can't disclose anything about the NDA Licensing Agreement, but can tell you that there are 2 Seperate parts of the Settlement. The One-time Lump Sum "and" a NDA Licensing Agreement.
