I have been trying to be more patient with 3DIcon/Cortec, but when you discover the CEO lied or is ignorant it really gets under my skin. The continued missed timelines, pushed out revenue projections, etc. become harder to ignore when management is sloppy.

Freitag provided us some insights to the delayed filings a few weeks back and stated that the company had never been late on its filings in the past. Guess what? They have been late 5 times since 2008. 3 times on 10Q's and 2 times on 10K's. I am sorry, but I am not going to let him play the "new guy" card on this. It's all public information and is listed under the filings on their web site. He should know this stuff.

3rd Quarter 10Q Filing January 17, 2017

Some shareholders have asked about the late filing of the Company's 10Q for the latest quarter, which was due November 15. The accounting work for the merger has proven to be complex and required additional time to complete. Audits for Coretec Industries, LLC were required from inception of Coretec to present. Combining the financials of 3DIcon and Coretec was also time consuming. In addition, the services of two outside consulting firms were required to provide a valuation of 3DIcon after the merger and to approve the accounting treatment of the merger under applicable auditing and SEC requirements. The Company has never been late before in its filings and expects to file in the next two weeks. There are no financial or other penalties for the Company on account of the late filing.



It's been 3 weeks and still no financials. How do they expect any new shareholders to come on board when they can't even produce their financials months after the merger. Do they really have a clue how to run a company or are we still back to the same old "fly by the seat of our pants" leadership? We all know that management style by Keating, Sid Arostey (RIP) and Willner did not favor shareholders. There may be no penalties levied on the company for late filings, but it does make current and prospective shareholders view management as a bunch of clueless monkeys!
