I have not looked further into his background due to the valuation being so excessive. The stock isn't very actively traded and appears to be no bargain, so it's not a high priority for me.

Yes, I was glad to see the company file with the SEC. It removes a red flag.

As far as "poison pill", sure, but that can be done with VOTING rights alone.
