More than 40 mainland firms have shelved asset restructuring plans over the past three weeks, as the CSRC moves to clamp down on back-door listings.
Scores of A-share firms have suspended their asset restructuring plans after the regulator tightened its review procedures on reverse merger deals.
According to state-owned Securities Daily, 41 mainland-listed companies have shelved plans to revamp their businesses, including share placements, asset purchases and capital injection, over the past three weeks following a tightened rule by the China Securities Regulatory Commission (CSRC) to stem the so-called back-door listings.
And the CSRC is likely to take further steps to expel habitual loss-makers used as “shells” by unlisted firms to engineer the listings, according to sources with knowledge of the regulator’s thinking.
The companies that withdrew the listing plans cited tightened regulations and the weak stock market as the main reasons for the decisions.
At the beginning of July, the CSRC published a new rule that barred companies from raising funds via the domestic stock market via reverse merger deals, showing its tough stance on the attempts by overseas-listed firms to return to the mainland market.

Dozens of overseas-listed Chinese companies, following privatisation, started hunting “shell” firms on the A-share market to gain a listing status on the mainland early this year.
The move sparked a round of excessive speculation on the firms and triggered fears among regulators that the irrational buying would exacerbate the mainland’s already volatile market.
“The companies have abandoned the plans since it’s unlikely they could pass the regulator’s review procedure,” said Wang Feng, chairman of Shanghai-based Ye Lang Capital.
“The regulator doesn’t want to see strong buying of those ‘shells’.”
Under such a reserve merger deal, or back-door listing, an unlisted firm normally buys a controlling stake in a public company before injecting its own assets into the listing vehicle.
After becoming listed, the companies can offer new shares in refinancing deals to raise public funds.
Beijing cancelled a plan to set up a new board for emerging industries in March, shutting the formerly overseas-listed firms out.
The board was designed to welcome technology companies traded outside the mainland stock market.
The companies resorted to reverse merger deals as they sought to return to the A-share market, where the valuations of technology stocks was higher than those listed overseas, particularly the United States.
In the past months, a slew of shell firms were actively chased by speculators on rumours that they would be restructured amid a back-door listing.
“The wave of reverse mergers isn’t in line with the regulator’s principle of ensuring justice and fairness in the market,” said a former CSRC official.
“CSRC chairman Liu Shiyu is standing firm, deciding to kick those ‘shells’ out of the market.”
Through reverse merger, major owners of the normally underachieving A-share firms, could charge a lofty price from interested buyers, striking it rich overnight despite failing to successfully run their businesses.
Caixin, a financial magazine, reported that more than 100 companies with the potential to become shells for back-door listings could now face being delisted, since the CSRC has taken a dim view towards reverse mergers.
Beijing temporarily halted initial public offerings (IPOs) in the second half of 2015 to stem any fresh influx of capital into new equities, to support the beleaguered market following a boom-to-bust cycle.
After resuming the IPOs, the CSRC slowed down approvals to control the pace of new share sales, also prompting those formerly overseas-listed firms to seek other alternatives to become publicly traded on the mainland.
CSRC chairman Liu, a former Agricultural Bank of China chairman, after taking the helms of the securities regulator in March, made two significant policy changes – putting the implementation of an eased IPO system on ice and scrapping the plan to establish the new board for emerging industries.
He is tasked with maintaining market stability after the stock market rout wiped out US$5 trillion (HK$38.8 trillion) of capitalisation between mid-June and late August." End quote.

"Bans on genetically modified crops imposed by state and local governments in the Pacific Northwest are perfectly legal, meaning that there is nothing the federal government or Big Food and Monsanto can do about it, a federal appeals court has ruled.
As reported by The Daily Astorian, federal statutes do not preempt or otherwise prevent local governments from banning GMO crops that have already been deregulated by the U.S. Department of Agriculture, according to the ruling from the 9th U.S. Circuit Court of Appeals.
A panel of judges decided to overturn an earlier ruling which held that Maui County in Hawaii was not permitted to ban commercialized GMO crops in 2014, because the local ordinance was preempted by federal rules governing biotechnology.
The panel ruled that there is no conflict between local regulations and federal rules and laws because, in this case, the USDA lacks jurisdiction over biotech/GMO crops once they’ve been deregulated, the paper said in online editions.
‘Far-reaching practical effects’
Preventing state and local governments from being able to regulate crops that were at one time considered plant pests would have a “backwards effect,” because they are able to regulate conventional and organic crops that raise fewer concerns among local officials.
“Such a holding would have far-reaching practical effects,” the 9th Circuit panel wrote. “Because a large percentage of commercial crops grown in the United States are GE crops, states and counties across the nation would be prevented from regulating an enormous swath of agriculture. We do not believe that Congress so intended.”
That said, state and local bans on GMO crops cannot be applied to biotech species that are still being regulated by the USDA, since that federal agency retains jurisdiction over them until they have been commercialized, the panel said.
Though the 9th Circuit panel ruled in favor of critics of GMO crops on federal preemption, Maui County’s GMO ban remains vacated because the appellate court found that the statute was preempted by the state’s comprehensive laws and rules dealing with the same subject of potentially harmful plants and crops.
“By banning commercialized GE [genetically engineered] plants, the ordinance impermissibly intrudes into this area of exclusive state regulation and thus is beyond the county’s authority” under Hawaiian law, the court said.
The ruling is significant in that the 9th Circuit Court covers nine Western states where counties in Oregon, Washington state and California all have bans on GMO crops.
Paul Achitoff, a lawyer with the Earthjustice law firm that represented critics of GMOs in the case, described the ruling as “a relief” and anything but “a worst-case scenario.”
‘The state has not been protecting people’
Despite that, Achitoff said that he was nevertheless disappointed by the 9th Circuit ruling that state law preempts the local GMO ban in Maui County, which he said was “a loss for Hawaii’s people.”
He added that local ordinances are necessary in Hawaii because biotech breeding occurs there and because state regulations predate GMOs, creating what he called a “vacuum.”
“The state has not been protecting people in that respect,” he told The Daily Astorian.
Biotech giant Monsanto sued to overturn the law. Officials with the company said they were proud to be a part of the agricultural community in Hawaii, where it has 1,000 employees, and understands its “responsibility to farm sustainably and to work collaboratively,” an emailed statement to the paper noted.
Only, GMO crops are not in the best interests of the people of Hawaii – or anywhere else, for that matter. And to that end, local governments elected by local populations should have the right to decide for themselves what kind of agricultural products they want grown on their locally owned land and within their locally inhabited ecosystems.'

Roundup Ready Crops have been altered at the DNA level so they can withstand the herbicide glyphosate. This has accelerated the evolution of super weeds. Since the active ingredient in Roundup is a registered antibiotic, it may be contributing to increased microbial resistance and super bugs. Glyphosate also adversely affects hormones.
Genetic alterations can be classified into three groups, transgenic, cisgenic, and intragenic. A transgenic seed contains a genome that is spliced with a foreign, non-crossable species, which does not occur naturally. For example, this happens when scientists splice fish genes with tomatoes genes. The transgene can also be synthetically developed in a lab. A cisgenic seed includes the transfer of genes between two related organisms. An intragenic seed is a hybrid that uses genes between crossable species.
Why are we so concerned with calories, a concept barely applicable to our bodies? A calorie is simply a measurement of the quantity of heat required to raise the temperature of 1 gram of water by 1°C. Why aren’t we more concerned with carcinogenic molecules in our food such as glyphosate? Why don’t our food labels alert us to glyphosate contaminated ingredients or provide the measurement of this toxin in our food? It’s the content of the calorie that counts. What kind of chemicals and heavy metals are in the foods?
The most important question to ask: Are you eating Monsanto’s weed killer for dinner?
