(f) As used in this Certificate, the term “Fully-Diluted Common Stock” shall mean all shares of Common Stock of the Corporation or any successor-in-interest to the Corporation that is issued and outstanding and issuable upon conversion, exchange or exercise of any Common Stock Equivalents, in each case, immediately after giving effect to any Conversion Event; provided, however, that, except for (A) any shares of Common Stock issuable upon exercise of the Warrant, as set forth in the Exchange Agreement and (B) any shares of Common Stock issuable upon voluntary conversion of the Note, the term Fully-Diluted Common Stock shall not mean or include any Common Stock or Common Stock Equivalents issued or issuable in connection[color=red][/color] with (i) the acquisition of any Person by the Corporation or any subsidiary of the Corporation, other than Pixel [color=red][/color](whether by equity purchase, asset purchase, merger, consolidation or like combination), or (ii) the issuance of any stock options by the Corporation to any employee or consultant of the Corporation or any of its subsidiaries; it being understood that the issuance(s) of any Common Stock or Common Stock Equivalents under clauses (i) or (ii) of this paragraph shall dilute the equity interests of all holders of Common Stock on an equitable and pro-rata basis.



No one on this board owns "Pixel" Common Stock. There are only 1000 shares all owned by one person. You own "Solaris" Common Shares.
