Pete, $ZMRK was already incorporated in Delaware. They didn't need to "upgrade". You don't understand how business works and I am not going to teach you. But I will tell you this: When you are domiciled in California, you need to be registered with the California Secretary of State, otherwise you can't do business from California. Zalemark has only one office and that shows on their Q3 financials as being in Los Angeles. But it really makes no difference as they haven't sold any merchandise in years.
