I know someone (securities attorney) who could do the restructure of the shell company. If UCPA management wants to take the operating company private, then I'm sure a transaction could be worked out to take over UCPA, restructure the entity, and then reverse merge in a new operating company.

If there's any interest from management please let me know and I'll then reach out to to see if there's interest on the other side.
