I agree. It seems to me the reality of ALL companies is that ~90+ % of them fail! That is independent of the OTC. A high percentage of Simple "Mom and Pop startups" including little stores in one's neighborhood just don't make it for long. Business is hard and fraught will peril and failure. Lack of funding, mismanagement, uncontrollable economics, bad luck, etc. are all in operation. The OTC presents an opportunity to get, as you put it, "floor-less convertibles", i.e. convertibles that cannot be covered due to the the lack of collateral and difficulties in startup and indeed, those things spiral into toxic manure when they mature. Even the best of ideas often fail, not because there was a bad product or corrupt management or any other evil little demon running around, but just because of "bad-timing". Then the convertibles kick in and "voila" a rapid the path to the outhouse.

The entire Solar Industry over the past 1-2 years is a perfect example of that.
