No, you haven't missed a thing. You're exactly right. The NGCG story - which gets ever more elaborate by the hour - doesn't make any sense.

That's because it isn't true.

why in the world would a so-called group of billionaires even bother with NGCG in the first place? There are dozens of really clean shells out there; no debt, no cash, no liabilities, no skeletons in the closet and they can turn over 95% or more of the shares. I have a whole list of them somewhere in my records. But they chose NGCG? Now that doesn't make sense!

And if Kim had some really good businesses to go into the shell, the owners of those clean shells would jump at the opportunity. There are plenty of owners that, if the deal is good enough, would forgo taking cash for the shell and just take restricted shares.

I must be missing that one critical piece of the puzzle

All we have here is a grudge match between two penny stock scammers. Kalisky put Kim in place, and gave Ruppert the boot. it's just that simple.

The rest is all just anger, noise and smoke from Kalisky to distract and confuse the issue.
